Terms of Service

These Terms of Service (the “Terms”) are a legally binding agreement between you and Northlo Software Consulting, a sole proprietorship operated by Bradley Logan, doing business as eave (“eave,” “we,” “us,” or “our”), governing your access to and use of our websites (including eaveapp.ca), mobile applications, optional hardware-related features, APIs, waitlists, and related products and services (collectively, the “Services”).

By accessing or using the Services, creating an account, joining the waitlist, or clicking to accept these Terms, you agree to them. If you do not agree, do not use the Services.

Our Privacy Policy explains how we handle personal information and is incorporated by reference.

1. What eave is (and is not)

eave is an assistive scam-awareness tool. It uses live audio processing and AI-based analysis to help identify speech patterns commonly associated with scam scripts, and may warn you and, if you choose, notify trusted contacts.

eave is not: a guarantee that every scam will be detected; a replacement for your judgment; a bank, insurer, law firm, emergency service, or law-enforcement agency; or a call-recording product for archival playback.

Alerts can be wrong. False positives and false negatives will occur. You remain solely responsible for how you respond to any call, visitor, message, or alert.

2. Eligibility

You may use the Services only if:

The Services are intended primarily for adults and caregivers. They are not directed to children.

3. Accounts

Certain features require an account. You may register with email and password or through supported sign-in providers (such as Google or Apple). You agree to provide accurate information and to keep your credentials confidential. You are responsible for activity under your account.

Notify us promptly at support@eaveapp.ca if you suspect unauthorized access. We may suspend or terminate accounts that appear compromised, abusive, or in breach of these Terms.

You may delete your account at any time in the app (Settings → Delete Account) or by following Delete Account. Deletion is permanent.

4. Licence to use the Services

Subject to these Terms, eave grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for lawful personal or household protection purposes (and, for approved developer early access, for evaluation consistent with any separate written terms we provide).

5. Acceptable use and monitoring laws

Laws about listening to, monitoring, or recording conversations vary by country, province, state, and territory. You are solely responsible for ensuring your use of eave is lawful where you and the people around you are located.

Without limiting that responsibility, you agree that you will:

eave may process audio that includes voices other than yours (for example, a caller, visitor, or room audio), depending on how you configure devices. That does not reduce your duty to comply with local law.

All-party consent posture. Because eave can capture more than one voice and laws differ across locations (including all-party / two-party consent jurisdictions), we recommend you treat every monitoring session as if all parties must be informed. Practical steps include: telling household members that eave may listen during calls or visits; relying on the visible “listening” LED on supported devices; using hardware mute when monitoring should not occur; and, where appropriate, giving a brief verbal notice at the start of a call. Continuing after clear notice may constitute consent in some places, but you remain responsible for meeting the strictest rules that apply to your situation.

6. Permissions and devices

The app may request microphone, Bluetooth, notification, and related permissions. Hardware devices may include microphones, network connectivity, mute controls, and status indicators. By enabling monitoring, you instruct eave to process audio and derived text for scam detection and related Service features described in the Privacy Policy.

You can revoke permissions in device settings; doing so may disable core functionality. On supported hardware, use the physical privacy / mute controls when you do not want listening to occur.

7. Family and safety contacts; caregivers

If you add safety contacts, you represent that you have a right to provide their contact details and that sending them scam-related alerts is lawful and appropriate. You are responsible for keeping contact information accurate and for removing contacts who should no longer receive alerts.

Alert delivery depends on third-party networks (SMS, push, and similar). We do not guarantee that every alert will be delivered, timely, or read.

Setup for another person. If you set up or use eave for a parent, spouse, or other monitored person, you represent that: (a) you have their informed permission to enable monitoring and related processing, or you are their legally authorized representative where they cannot consent; (b) you will inform them that eave may listen during calls or conversations and may alert designated contacts; and (c) you will not enable monitoring covertly in violation of law. Consent should be specific to the features you enable (monitoring, AI analysis, family alerts) and is ongoing — the monitored person (or you, on their behalf where authorized) may withdraw it by muting devices, stopping monitoring, or deleting the account.

8. AI outputs; no professional advice

Detection results are generated by automated systems and may be incomplete, outdated, or incorrect. Do not treat an alert — or the absence of an alert — as professional legal, financial, medical, or emergency advice. If you believe you or someone else is in immediate danger, contact local emergency services.

eave is not liable for financial loss, identity theft, or other harm arising from a scam the Services failed to detect, a false alert, delayed or failed notifications, or actions you or others take (or do not take) in reliance on the Services — except to the limited extent such limitation is prohibited by applicable law.

9. Hardware waitlist (not a pre-order)

You may join a waitlist to express interest in eave hardware (such as Puck, Clip, or Line). Joining is free and creates no purchase obligation.

Waitlist and product-update emails identify Northlo Software Consulting / eave as the sender and include a working unsubscribe option (CASL). Separate terms will apply if and when hardware is offered for sale (including pricing, shipping, warranties, and returns).

10. Developer and partner features

If you request developer early access or connect a partner integration (for example Omi), additional technical limits, keys, and acceptable-use rules may apply. You must not submit unlawful content, must secure your credentials, and must ensure you have all rights and consents needed for audio, transcripts, or personal data you send to eave.

11. Third-party services

The Services depend on third parties (cloud hosting, authentication, speech-to-text, AI providers, SMS/push delivery, app stores, and partner platforms). Their availability and performance are outside our full control. Your use of third-party sign-in or partner products is also subject to those parties’ terms and privacy policies. eave is not responsible for third-party outages, acts, or omissions.

12. Intellectual property

The Services, including software, models, documentation, logos, and branding, are owned by eave or its licensors and are protected by intellectual property laws. These Terms do not transfer ownership to you. Feedback you provide may be used by eave to improve the Services without obligation to you.

“eave,” related marks, and product names are trademarks of Northlo Software Consulting / eave. You may not use them without prior written permission, except for truthful factual references.

13. Beta / early features

Some features may be labelled alpha, beta, preview, or early access. They may be unstable, change without notice, or be withdrawn. They are provided as-is to the maximum extent permitted by law.

14. Fees

Today, many consumer features may be offered without charge while the product is in early stages. We may introduce paid plans, hardware purchases, or usage-based fees later. If we do, we will disclose pricing before you are charged, and additional payment terms may apply. App store purchases are also subject to Apple’s or Google’s terms.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT SCAMS WILL BE DETECTED.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, warranties are limited to the minimum scope and duration required by law.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAVE AND ITS OWNER, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF: (A) THE AMOUNTS YOU PAID TO EAVE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM; OR (B) CAD $50.

These limits do not apply to liability that cannot be limited under applicable law (for example, certain consumer rights, fraud, or willful misconduct where such limits are prohibited).

17. Indemnity

You agree to defend, indemnify, and hold harmless eave and its team from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or law (including monitoring/recording laws); (c) your infringement of another person’s rights; or (d) alerts sent to contacts you designated.

18. Suspension and termination

You may stop using the Services at any time and may delete your account. We may suspend or terminate access immediately if we reasonably believe you breached these Terms, create risk or legal exposure, or if we discontinue the Services. Upon termination, the licence in Section 4 ends. Sections that by nature should survive (including intellectual property, disclaimers, limitations, indemnity, and governing law) will survive.

19. Changes to the Services and Terms

We may modify or discontinue features at any time. We may update these Terms by posting a revised version with a new “Last updated” date. Material changes will be highlighted by reasonable notice where appropriate. If you continue using the Services after changes take effect, you accept the updated Terms, except where applicable law requires additional consent. If you do not agree, stop using the Services and delete your account.

20. Governing law and disputes

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Subject to applicable consumer-protection rights that cannot be waived, you and eave agree to the exclusive jurisdiction of the courts of New Brunswick, Canada, for disputes arising out of or relating to these Terms or the Services.

If you are a consumer in a jurisdiction that prohibits the foregoing choice of forum or law, mandatory local protections continue to apply to you.

21. Export and sanctions

You may not use or export the Services in violation of Canadian, US, or other applicable export-control or sanctions laws.
